CATEGORIES OF PERSONAL DATA PROCESSED<\/strong><\/p>\n\n<p>The Company may process:<\/p>\n\n<ul>\n    <li>identification and personal data;<\/li>\n    <li>contact details, such as address, telephone number, e-mail address and certified e-mail (PEC);<\/li>\n    <li>tax, administrative and banking data and data relating to payments;<\/li>\n    <li>data relating to professional or business activities and the position held;<\/li>\n    <li>data contained in requests for quotations, orders, contracts, invoices and business correspondence;<\/li>\n    <li>data relating to the fulfilment of contractual obligations;<\/li>\n    <li>commercial, financial, asset-related and economic information obtained from Cerved, public registers, lists, records or publicly accessible documents;<\/li>\n    <li>indicators, assessments or scores relating to commercial, economic or financial soundness and reliability, within the limits permitted by applicable law.<\/li>\n<\/ul>\n\n<p>\n    As a rule, the Company does not process special categories of personal data pursuant to Article 9 of the GDPR, nor data relating to criminal convictions and offences pursuant to Article 10 of the GDPR. Should such data be received occasionally and not be necessary, they will be deleted or not used.\n<\/p>\n\n\n<p><strong>3. PURPOSES AND LEGAL BASES FOR PROCESSING<\/strong><\/p>\n\n\n<p><strong>a. Management of requests and pre-contractual activities<\/strong><\/p>\n\n<p>The data are processed for:<\/p>\n\n<ul>\n    <li>responding to requests for information or quotations;<\/li>\n    <li>preparing commercial offers;<\/li>\n    <li>conducting negotiations and preliminary activities for the conclusion of the contract;<\/li>\n    <li>verifying powers of representation and the identification data of the prospective customer.<\/li>\n<\/ul>\n\n<p>\n    The legal basis is the performance of pre-contractual measures taken at the request of the data subject, pursuant to Article 6(1)(b) of the GDPR.\n<\/p>\n\n\n<p><strong>b. Preliminary assessment of commercial and creditworthiness through Cerved<\/strong><\/p>\n\n<p>\n    Before entering into a contract or establishing the relevant economic terms, the Company may obtain and consult commercial information provided by Cerved Group S.p.A.\n<\/p>\n\n<p>\n    The consultation may concern, within the limits of the service used:\n<\/p>\n\n<ul>\n    <li>identification data and data relating to the economic activity;<\/li>\n    <li>positions held, shareholdings and corporate links;<\/li>\n    <li>data obtained from the Companies Register, financial statements and other public registers;<\/li>\n    <li>protests, insolvency proceedings, adverse events and other relevant events that are publicly available;<\/li>\n    <li>information on commercial, economic and financial reliability;<\/li>\n    <li>indicators or scores developed by the service provider.<\/li>\n<\/ul>\n\n<p>\n    Such information is used to assess commercial reliability and the ability to fulfil obligations, prevent insolvencies, fraud and other economic risks, determine whether to enter into the commercial relationship, define payment terms, and protect the Company\u2019s assets and rights.\n<\/p>\n\n<p>\n    The legal basis is the pursuit of the Company\u2019s legitimate interest in the proper management of commercial and credit risk, the prevention of fraud and the protection of its assets, pursuant to Article 6(1)(f) of the GDPR.\n<\/p>\n\n<p>\n    The processing is carried out on the basis of a balancing assessment between such interest and the rights and freedoms of the data subjects. Information on the essential elements of the legitimate interest assessment may be requested by contacting the Company.\n<\/p>\n\n<p>\n    Failure to obtain the information or an adverse outcome of the checks may result in the rejection of the contractual proposal or the application of different commercial terms.\n<\/p>\n\n<p>\n    For the processing activities falling within its competence relating to the collection, processing and provision of commercial information, Cerved acts as an independent data controller. Information on the relevant processing is available in the privacy notice provided by Cerved itself.\n<\/p>\n\n\n<p><strong>c. Performance and management of the contract<\/strong><\/p>\n\n<p>\n    The data are processed to manage orders, supplies, deliveries and services, handle correspondence and operational relations, issue invoices and manage collections and payments, provide assistance, and fulfil the obligations arising from the contract.\n<\/p>\n\n<p>\n    The legal basis is the performance of the contract pursuant to Article 6(1)(b) of the GDPR.\n<\/p>\n\n\n<p><strong>d. Compliance with legal obligations<\/strong><\/p>\n\n<p>\n    The data are processed to fulfil obligations imposed by law, regulations, European Union legislation and measures issued by the competent authorities, including tax, accounting and administrative obligations.\n<\/p>\n\n<p>\n    The legal basis is compliance with a legal obligation pursuant to Article 6(1)(c) of the GDPR.\n<\/p>\n\n\n<p><strong>e. Protection of rights and management of disputes<\/strong><\/p>\n\n<p>\n    The data may be processed to ascertain, exercise or defend a right of the Company, including in the context of out-of-court activities, debt collection procedures or judicial proceedings.\n<\/p>\n\n<p>\n    The legal basis is the Company\u2019s legitimate interest in protecting its rights, pursuant to Article 6(1)(f) of the GDPR.\n<\/p>\n\n\n<p><strong>4. PROVISION OF DATA<\/strong><\/p>\n\n<p>\n    The provision of data necessary for the management of pre-contractual activities, the conclusion and performance of the contract and compliance with legal obligations is mandatory.\n<\/p>\n\n<p>\n    Failure to provide the data or the provision of inaccurate data may make it impossible to commence or continue negotiations, conclude the contract, perform the services or properly fulfil contractual and legal obligations.\n<\/p>\n\n\n<p><strong>5. PROCESSING METHODS AND SECURITY MEASURES<\/strong><\/p>\n\n<p>\n    The processing is carried out using electronic, telematic and paper-based tools, adopting technical and organisational measures appropriate to the risk and aimed at ensuring the security, confidentiality, integrity and availability of the data.\n<\/p>\n\n<p>\n    The data are processed exclusively by authorised and instructed personnel or by external parties formally appointed, where necessary, as data processors pursuant to Article 28 of the GDPR.\n<\/p>\n\n\n<p><strong>6. AUTOMATED DECISION-MAKING PROCESS<\/strong><\/p>\n\n<p>\n    The information and any indicators or scores obtained through Cerved constitute supporting elements for the Company\u2019s assessment. The decision concerning the conclusion of the contract or payment terms is not based solely on automated processing that produces legal effects or similarly significantly affects the data subject.\n<\/p>\n\n<p>\n    The assessment also takes into account other relevant elements and is subject to the intervention of authorised personnel.\n<\/p>\n\n<p>\n    The data subject may submit observations, provide additional information and request a review of the assessment by contacting the Data Controller.\n<\/p>\n\n\n<p><strong>7. DATA RECIPIENTS<\/strong><\/p>\n\n<p>\n    The data may be disclosed or made accessible, within the limits of their respective functions, to:\n<\/p>\n\n<ul>\n    <li>employees and authorised collaborators of the Company;<\/li>\n    <li>administrative, tax, accounting and legal consultants;<\/li>\n    <li>banks, payment institutions, insurance companies and debt collection companies;<\/li>\n    <li>agents, carriers, freight forwarders, suppliers and partners necessary for the performance of the contract;<\/li>\n    <li>providers of IT, hosting, maintenance and support services;<\/li>\n    <li>companies of the Cerved Group or other commercial information providers;<\/li>\n    <li>public authorities and other parties to whom disclosure is required by law.<\/li>\n<\/ul>\n\n<p>\n    External parties will process the data, as applicable, either as independent data controllers or as data processors appointed pursuant to Article 28 of the GDPR.\n<\/p>\n\n<p>\n    The updated list of data processors may be requested from the Data Controller.\n<\/p>\n\n<p>\n    Personal data are not subject to dissemination.\n<\/p>\n\n\n<p><strong>8. TRANSFER OF DATA OUTSIDE THE EUROPEAN ECONOMIC AREA<\/strong><\/p>\n\n<p>\n    The data are processed predominantly within the European Economic Area.\n<\/p>\n\n<p>\n    Where certain suppliers involve the transfer of data to countries outside the European Economic Area, the transfer will take place in compliance with Articles 44 et seq. of the GDPR, on the basis of an adequacy decision by the European Commission or through the adoption of standard contractual clauses and any necessary supplementary measures.\n<\/p>\n\n<p>\n    Further information on the safeguards used may be requested from the Data Controller.\n<\/p>\n\n\n<p><strong>9. DATA RETENTION PERIOD<\/strong><\/p>\n\n<p>\n    The data are retained according to the following criteria:\n<\/p>\n\n<ol>\n    <li>data relating to requests and negotiations that do not result in the conclusion of a contract: for the time necessary to manage the request and, indicatively, for no longer than 12 months from the conclusion of the negotiations, except in the event of disputes or further documented requirements;<\/li>\n    \n    <li>reports, outcomes and information obtained through Cerved: for the time strictly necessary for the pre-contractual assessment and documentation of the decision, indicatively no longer than 12 months from the consultation, except in the event of updates, conclusion of the contract, disputes or retention obligations;<\/li>\n    \n    <li>contractual, administrative, tax and accounting documentation: for the duration of the relationship and for ten years following its termination or the last relevant entry, without prejudice to any longer periods required by law or necessary for the protection of rights;<\/li>\n    \n    <li>data relating to disputes: until the final conclusion of the dispute and the expiry of the deadlines for any further actions or appeals.<\/li>\n<\/ol>\n\n<p>\n    Once the applicable retention periods have expired, the data will be deleted, anonymised or archived exclusively where required by law.\n<\/p>\n\n\n<p><strong>10.
